These Terms & Conditions (“Terms”) govern your use of the Overflow Gives Back website at overflowgivesback.com (the “Site”) and your participation in events organized by Overflow Gives Back, LLC (“we,” “us,” “our”). By accessing the Site, purchasing a ticket, or attending an event, you agree to these Terms.

1. Use of the Site

You may use the Site for personal, non-commercial purposes consistent with these Terms. You agree not to use the Site for any unlawful purpose, to attempt to interfere with the Site’s operation, or to copy, reproduce, or redistribute Site content without our written permission.

2. Intellectual Property

All content on the Site, including text, graphics, logos, images, video, and the Overflow Gives Back™ trademark, is owned by Overflow Gives Back, LLC, its licensors, or its partners. And, GIFTS® Formula and The GIFTS® Formula is owned fully by Innerspire, LLC all rights reserved. Reproduction or redistribution without written permission is prohibited.  

3. User Submissions

If you submit content to us through any form on the Site (charity beneficiary application, panelist nomination, contact form), you represent that the content is accurate, that you have the right to submit it, and that the content does not violate any law or third-party rights. You grant us a non-exclusive, royalty-free license to use the submitted content for the purpose of administering the Overflow Gives Back program.

4. Tickets and Events

Ticket purchases are governed by our Refund Policy, which is posted on the applicable event page. By purchasing a ticket, you agree to that Refund Policy.

Events are subject to change, including changes to date, time, venue, panelists, and program. We will communicate material changes to ticket holders through the email provided at the time of purchase.

Attendance at our events is at your own risk. By attending, you agree to follow all venue rules, posted safety guidelines, and reasonable instructions from event staff.

5. Photo and Video Release

By attending an Overflow Gives Back event, you agree that you may be photographed, filmed, or recorded, and that those images, audio, and video may be used by Overflow Gives Back for marketing, promotional, and educational purposes without further compensation.

6. No Investment Solicitation

Content on this Site is for informational purposes only and does not constitute an offer to sell or a solicitation to buy any security. Any offers of investment opportunities are made separately, only to verified accredited investors, in accordance with Rule 506(c) of SEC Regulation D, with proper disclosures and accreditation verification.

7. Disclaimers

The Site and our events are provided “as is” without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted or error-free, or that any information on the Site or presented at our events is complete or accurate.

8. Limitation of Liability

To the maximum extent permitted by law, Overflow Gives Back, LLC, its officers, directors, members, employees, partners, sponsors, panelists, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or attendance at our events. Our total liability for any claim shall not exceed the amount you paid for the applicable ticket.

9. Indemnification

You agree to indemnify and hold harmless Overflow Gives Back, LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Site, your attendance at our events, your submitted content, or your violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any dispute shall be resolved in the state or federal courts located in Manatee County, Florida.

11. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects when changes took effect. Continued use of the Site after changes constitutes acceptance of the updated Terms.
